Confidentiality statement
With regard to the collaboration between:
  • The SEPEN Consortium, composed of Semmelweis University, Katholieke Universiteit Leuven, the Italian Ministry of Health, the CPME Standing Committee of European Doctors and AGENAS, National Agency for Regional Health Services, by virtue of the service contract no. 20167301 signed with Chafea (Consumers, Health, Agriculture and Food Executive Agency) on September 5, 2017 (hereinafter the Consortium) ; and
  • SEPEN #5 Workshop Participant (hereinafter the Participant)
concerning the performance of the Online Workshop within the SEPEN - Support for the hEalth workforce Planning and forecasting Expert Network project, the Participant is informed that, during this collaboration, technical, scientific, operational and administrative information may be communicated to him/her which is confidential and exclusively owned by Chafea.

In this regard, the Participant hereby declares that he/she accepts the following:
  1. For the purposes of this agreement confidential information shall mean all the information and documents the Participant receives, in any format, from the SEPEN Consortium. As a result, all this information is intended as confidential, unless stated otherwise in writing by the Consortium or by Chafea.
  2. Confidential Information may be used for the sole purpose of providing the services included in the scope of the collaboration mentioned above and, therefore, the Participant commits to not use it for any other purpose without the prior written agreement of Chafea.
  3. The Participant hereby commits: to consider strictly confidential and therefore to not disclose, transfer, reveal and / or otherwise make available directly or indirectly, in whole or in part, the Confidential Information he/she receives to any third Party, unless otherwise provided for by Chafea through a prior written agreement.
  4. The Participant undertakes not to reproduce, record, copy and / or duplicate the Confidential Information or part of it, transmitted in any form, without the specific written consent of Chafea.
  5. The Participant undertakes to treat all confidential information received with the same degree of diligence and care he/she accords to protect his/her own confidential information.
  6. Hereby the Participant undertakes to not disclose in any way photos, videos and recordings, to be intended as strictly confidential data / information.
  7. Any publication by the Participant of products, documents, material prepared or produced while performing the activities included in the scope of the collaboration with the SEPEN Consortium is only permitted after receiving a written consent from Chafea, and in accordance with the Commission Decision of 12 December 2011 on the reuse of Commission documents.
  8. Failure by the Participant to fulfill the above obligations will result in his/her obligation to compensate for any and all damages that Chafea should suffer as a result of this failure.
  9. The communication of the Confidential Information shall not be in any case intended as the granting of a license or other right to use patents, trademarks, models or other intellectual property rights of Chafea.
  10. Should the collaboration between the parties be suspended or terminated upon a simple written request from Chafea for any reason, the Participant will be required to return within one (1) working day to Chafea, or to destroy, all documents, copies, as well as all materials containing Confidential Information.
  11. The confidentiality obligations set forth in this statement will also apply in case of termination, for any reason, of the above-mentioned collaboration between the parties, unless the Confidential Information is:
    • already known to, or otherwise held by, the Participant without the limits indicated above, upon receipt pursuant to this agreement;
    • publicly available;
    • obtained from third parties without restrictions and without this leading to a violation of the applying obligations;
    • developed independently by the Participant;
    • disclosed by Chafea to third parties without restrictions.
  12.  As regards any matter not expressly provided for by this statement, the Chafea’s internal rules and regulations apply.
  13. The obligations the Participant hereby assumes must be intended as an essential and fundamental condition for the collaboration with the SEPEN Consortium. Therefore, failure to comply with any of above-mentioned obligations will entitle Chafea to terminate the collaboration, in accordance with Article 13 of the Service Contract no. 20167301.
